Thread regarding Cabela's Inc. layoffs

A suggestion to this site each person has a nickname or you are banned for pretending to be another poster

I make this suggestion because every one I have talked to think the majority of posts if not all of them come from a fired ex employee of Cabelas. My having one nickname for each address could perhaps help this situation

I believe they used the word “merger” to soften the blow or to confuse or to even have people believe that Cabela’s would continue on as it was. Others have posted links to articles that call this an acquisition, not a merger. Others, myself included, have posted the definition of acquisition and merger. And like others, you can call it whatever you want, but the fact remains that Cabela’s will not continue on as it has. JM and BP saw blood in the water and went for it. JM has sole controlling interest in both BP and what’s left of Cabela’s.

Changes are coming for Sidney and what’s left of corporate. Yes Sidney may recover, but it will take years, to get back to a thriving level. A new normal is upon the community and it will take a lot to become adjusted to the new normal.

I’m not bagging on anyone, it’s just something we all have to face and realize what is going on and how different things are going to be once layoffs hit corporate.

The documents files with the SEC call it a merger.

by | Post ID:

Maybe the poster meant to go public with how he/she is going to save cab instead of posting it multiple times on this site. Actions speak louder than words.

by | Post ID:

Merger?????? What are you talking about.

Where are all downloadbesttorrentblog.rus taking place?

Which execs were asked to chip in for severance for all downloadbesttorrentblog.ru workers?

Which city has empty buildings?

Which city has 30% of it's home up for sale?

Which company does not have a Senior VP of HR anymore?

Puhleeeeeeezzzz. Stop this delusion!

I've been reading this site for 2 years, in fact this is my second post. I'm 1200 miles away from Sidney Nebraska. I just come hete to keep informed. There is definitely an Insider on the site that knows what's going on. Not all, but most information on the site has come true. I can assure you I'm not the same poster, and that's the God's honest truth. In fact most people in my store know about this site.

by | Post ID:

I guess I am wondering if the comment telling you to get off this site is that acceptable on this site?

by | Post ID:

I agree with you entirely. It is so often stated on this site to keep your comments positive without harassment. You post comments which are polite and upbeat and the poster tell you to leave this site. I do not agree

by | Post ID:

I may not agree with you all the time. However I think you have a lot to offer. I agree the poster who asked you to leave was out of line.

by | Post ID:

I think it is wonderful how many posters are posting tonight. Finally we have some posters who are concerned about saving our town. I agree entirely we have to work with bass pro and show them how Sidney has so much to offer to their operation.

by | Post ID:

This city has been at times lead by leader who was afraid to post a position on the Cabela's and bass pro. I agree with you the mayor has shown a lot of courage .

by | Post ID:

Now it is getting deep

by | Post ID:

I agree with you entirely on your post. I want you to say on the site. I will support someone with your views on the issues. please fun this spring for office. Just ignore this poster who told you to leave the site now. this poster was way out of line

by | Post ID:

I think it is terrible the poster telling you to get off the site when you post a positive comment on bass pro and Sidney. This poster is so full of hate toward Cabela's and bass pro he has lost all common sense on this issue.

by | Post ID:

So Bass pro is moving thier whole operations here to our community?

Wow

by | Post ID:

What a brilliant post. well put. I remember when that poster was going and on how this was such easy merger and we would completed in only a few months. I can remember you saying that this was a difficult merger that may take up to two years to complete. You are right on

by | Post ID:

I will continue to post facts on this site and I will not pretend to be other posters like another poster on this site has done. As an employee of bass pro, a live time resident of Cheyenne country and a large stock holder in Cabela's I have been so impressed and pleased with the way bass pro have handled the company since the merger was closed. This is very exciting to me because Sidney Nebraska has close to a 10 billion dollar company, a company with close to 200 stores, a company with close to 60 thousand employees. I know I have often attacked when I stated this is a difficult merger which will probably take close to two years to complete. One poster said it would be completed before the first the year without any trouble (lol). I will not listen to the negative poster on this site toward bass pro and Sidney who told me to leave this site.

by | Post ID:

Well put. Well put. Still will be hard times for many throughout the company

by | Post ID:

I don't believe it matters by definition if the deal was a merger or acquisition, it only matters how the powers that be combine the two companies.

Yes BPS acquired CAB, I don't think that fact can be argued. BPS makes the decisions, i don't think that can be argued either. Is BPS trying to pick the best of both company's business practices, resources, and processes for the "merged" company to create a best of both worlds retail organization, I believe that can be argued.

by | Post ID:

Will the Mr. Know it all brown noser get off this site. If you want to save this town and Corp put your money out on the table and go public. Reveal your identity to all.

by | Post ID:

I might also add that SHAREHOLDERS were paid for thier shares of stock in Cabelas, so by definition how can that be a merger?

by | Post ID:

/>

Please note inn the news article in USA Today as an example the term ACQUISITION is used not MERGER.

This one of many articles that I have looked at and not a one state that this a merger. Oh I know I will be accused of posting as an imposter or being a Bass Pro/Cabelas/Sidney hater that is your modus operandi to skirt the truth and face the facts buy accusing individuals of falsehood.

Sidney will recovery eventually but not with your help.

Also this is NOT just about that little st he on the prairie, Thousands of people and families are /were impacted when Cabela' was ACQUIRED/PURCHASED, by Bass Pro and their backers. Not only was it the outfitters, suppliers, shippers etc have all been impacted.

by | Post ID:

The definition of acquisition:

n

This is when one company takes a controlling interest in another. [1]

When a company (typically referred to as the ‘acquirer’, ‘buyer’ or ‘bidder’) purchases a second, usually smaller, company (called the ‘acquiree’ or ‘target’); the second company can either be continued as a separate legal entity or ceases to exist and the assets of the target are then integrated into the buying company.

If both companies cease to exist and a third company is created from the two legacy companies, the term generally used is ‘merger’. The actual stake that is considered to take control over another company varies according to the legal juristiction. In many cases, it is the minimum of 50% plus one share. There are many occasions where companies acquire either minority stakes or hold a block in another company which might later lead to acquiring additional or remaining shares in the other company. Many strategic investors prefer to take complete (100%) control of the target target while most financial investors prefer to spread the risks and acquire lower stakes.[2]

acquisition in the news

Most M&A deals are structured as an acquisition. For example, when Kraft, the American food conglomerate, announced in early November 2009 that it would seek to purchase Cadbury, the UK-based confectionary company, Kraft intended to acquire all of Cadbury. Thus, when the deal was finalised in January 2010, the board of Cadbury agreed to recommend to its shareholders to sell all of their shares to Kraft.

Following the deal closing later that year, the Cadbury shares ceased to exist and no longer traded on the London Stock Exchange. Cadbury shareholders received a combination of cash and Kraft shares in exchange for their Cadbury shares. [3]

I ask the moderator of this site that posters be banned when they pretend to be other posters. (which is basically fraud, lying and misleading) not when they disagree with me. Please read the post.

by | Post ID:

Did you post the three post in question supposedly from three different posters?

by | Post ID:

How about joining me in working with bass pro and the mayor to make Sidney Nebraska and bass pro the most successful news story of 2018?

by | Post ID:

I do not pretend to be other posters. I am excited about the tremendous opportunity bass pro can bring to Sidney Nebraska. I have very impressed with the mayor of Sidney(the courage the mayor has showed) and bass pro and how they have conducted themselves since the merger. Yes I am going to do my best to insure Sidney Nebraska, bass pro and all of Cheyenne country reach the economic suggest which is so often not reached in the small towns of the united states. I previously asked you a simple question weather you posted the three posts attacking me for my post and the response I predicted was right which I would receive from you. Another question did you read the definition of a business merger which probably is seen in most business text books?

by | Post ID:

Well maybe the reason they sound similar is because they are mature educated individuals, something you are definitely not acquainted with, with that add your quick responsiveness to blame individuals for being the same poster, it is a childish trait, that shows a marked lack of emotional maturity

I would wager that you WERE an employee of Cabelas at one point in your life, but not any longer. (or Bass Pro for that matter). I have enjoyed watching you constantly accuse individuals of being hateful as well as full of spite. Both of which are traits that I have found in your posts, as well as accusing others as being a single poster only to be ridiculed and mocked.

You have gone from a dedicated 30 year employee of Cabelas to a dedicated employee of Bass pro, and the sole champion of Sidney in general. Single handedly fight the injustices of single individual who seek to destroy the community.

You accuse others of belittling you and demand that they be banned by the moderator just because they call you out and disagree with you.

You throw a temper tantrum and claim you are leaving because of the emotional stress caused by the constant ridicule, and you are under doctors orders to leave because of your skyrocketing blood pressure. Yet here you are back and causing the same trouble as before spewing the same tripe as before, hurling baseless accusations and claiming to know the truth.

Truth is just a supposition to you and is varied at best.

So I put forth a question that was put to you sometime ago. How do you know that it is one person, do you have some special algorithm in place to track these posts.

Also a poster put this question to you, Johnny Morris owner of bass pro tommy milliner CEO of Cabela's ralph Caster CFO of Cabela's called this business transaction a merger. What is your background?

What is /was your background.

just a couple simple questions that require a couple simple answers.

The only reason I come to this site anymore to to watch you make a complete fool of yourself and retorts you receive as well as the ridicule and shame you bring upon your self.

Thank you.

Johnny Morris owner of bass pro tommy milliner CEO of Cabela's ralph Caster CFO of Cabela's called this business transaction a merger. What is your background?

by | Post ID:

definition of merger

The combination of two (or more) companies into a new or existing legal entity. There are two basic types of merger: 1) the acquisition by one company of all the shares in another, with one of the companies (not necessarily the acquirer) surviving as the legal entity; 2) a new legal entity is created to combine the assets and operations of two companies, with shareholders of both companies offered shares in that new entity. The latter type of merger is often called consolidation in the US. Mergers, but also acquisitions are often presented as "mergers of equals".[1]

by | Post ID:

This is a question to a poster of the last statement. I notice the last two posts were 15 minutes apart. All three of the last three posts sounded alike. My question is am I right to assume the same poster posted the last three posts? I think the answer will be " we have several different posters and many viewers prove it". How about answering yes or no instead.

by | Post ID:

He's just a troll looking to cause trouble ignore him and he does go away like bad advertising

by | Post ID:

Here we go again!!! Call it what you want but this was an acquisition, not a merger. If this was a merger Cabela’s would have a say in day to day operations. What is Cabela’s making decisions on? All decisions are being made by BP, which BP purchased Cabela’s and they are controlling what happens to Cabela’s.

by | Post ID:

A suggestion my good man, if you are going to post comments that cause division and dissention,. Please check you syntax and spelling,.

You do not help your cause or your position when your spelling is lacking and your sentence structure fails to convey the message you are attempting to deliver.

By the way in all the articles that have been published concerning this situation the term merger is not mentioned just for your information.

Again let me suggest that you PROOF READ your statements prior to publishing them on line for the whole world to see.

by | Post ID:

I choose to listen to the Cabalas management and Johnny Morris when they call this agreement a merger and not a ex fired Cabela employee who I gather has nothing do the sat around posting his hate on this site for bass pro and Sidney Nebraska now.

by | Post ID:

Grow the heck up!!! This is a layoff site. NOT JUST FOR CABELA'S AND BASSPRO. This site is for every corporation in America. Quit acting like a stinking toddler. There are thousands of people looking at this site. Get over yourself you're not that special!!!! Good Grief

by | Post ID:

By the way the employees at Cabelas were told not to say anything in regard to the merger because everyone would be treated equally in the merger

Now this is rich, First of all it was a SALE not a MERGER, everyone treated equally sure.............

by | Post ID:

it is actually closer to 175 if you factor in the for sale by owner residences. This is just the

sidney area itself, if you look at cheyenne county itself it is closer to 190 total properties and this does not include any of the other surrounding areas that people have commuted from to work at cabelas.

This SALE n0t MERGER has damaged the area greatly, gone forever are the multitude of 80k plus jobs, Add that to the crippling taxes and current spending attitude of the city council and it is a recipe for disaster.

This is just the Sidney area. consider all the other communities and people impacted by this SALE not MERGER.

I am not thes CABELA/SIDNEY HATER you claim to rebuke with your diatribes, Watching and reading your posts over the course of the last year your rants and claims have caused as much damage and stress as to what is truly happening at the moment.

I am a realist, yes this situation is dire for the many communities where this once great company exists/existed, Yet we will all survive.

You are nothing but a trouble maker disguised as a self appointed messiah of the cause.

by | Post ID:

I assume my your answer you do not want the same thing

by | Post ID:

If all is well in Sidney and the people of Sidney are excited about the “merger” (acquisition) - why are there 120 houses for sale with more being added every week - and only one Home sold in the past 60 days?

by | Post ID:

I want bass pro to carry on a large part of their operation in Sidney and be very successful. I also want those to who benefited from the merger to step forward and give an extremely small amount back to those who was laid off. By the way the employees at Cabelas were told not to say anything in regard to the merger because everyone would be treated equally in the merger . Since you pray and wish everyone the best. I assume you want the same thing.
